Terms of Use

1. Acceptance of Terms

By downloading, installing, or using the Exodus Cleric application ("App") or visiting exoduscleric.com ("Site"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Three Grey Hairs LLC ("Company," "we," "us," or "our"), a limited liability company. We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms.

2. Description of Service

Exodus Cleric is a residency tracking and documentation tool designed to help individuals document their physical presence across U.S. states for tax residency purposes. The Service includes day logging, calendar analysis, gap detection, plurality monitoring, AI-assisted chat support, document storage, and advisor sharing features.

Exodus Cleric is an organizational and documentation tool only. Nothing in the Service constitutes legal, tax, or financial advice. You should consult a qualified tax attorney or CPA for advice specific to your situation.

3. Subscriptions and Payments

Exodus Cleric offers auto-renewable subscription plans (Foundation, Professional, and Executive) available for purchase through the Apple App Store. Subscription pricing and features are displayed at the time of purchase within the App.

Payment will be charged to your Apple ID account at confirmation of purchase. Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current subscription period.

You may manage or cancel your subscription at any time through iPhone Settings → Apple ID → Subscriptions. Cancellation takes effect at the end of the current billing period — you will retain access to paid features until that date.

Refund requests are subject to Apple's standard App Store refund policy. We offer a 14-day satisfaction refund window; contact us at chris@exoduscleric.com within 14 days of purchase.

4. User Accounts

You must create an account to use Exodus Cleric. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to provide accurate information during registration and to keep your account information current. You may not share your account with others or use another user's account.

You may delete your account at any time from within the App. Account deletion permanently removes all associated data in accordance with our Privacy Policy.

5. Acceptable Use

You agree to use Exodus Cleric only for lawful purposes. You may not use the Service to: (a) misrepresent your physical location or fabricate residency records; (b) violate any applicable federal, state, or local law or regulation; (c) attempt to gain unauthorized access to any portion of the Service; (d) transmit any malicious code, virus, or harmful data; or (e) interfere with the operation of the Service.

We reserve the right to suspend or terminate accounts that violate these Terms.

6. Intellectual Property

All content, features, and functionality of the Service — including but not limited to software, text, design, logos, and graphics — are owned by Three Grey Hairs LLC or its licensors and are protected by applicable intellectual property laws.

Your personal data and records entered into the Service remain your property. You grant us a limited license to store and process that data solely to provide the Service to you.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WE MAKE NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT ANY RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THREE GREY HAIRS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL — ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

9. Governing Law

These Terms are governed by the laws of the United States and the state in which Three Grey Hairs LLC is organized, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.
